Terms and Conditions

Prices & Measurements

All prices are UNIT prices and are quoted in either Pounds Sterling net of VAT or Euros. All sizes are approximate and in centimetres or inches. (Slight variations in size may occur as they are handmade.)

Orders

All orders must be signed for by the customer or, if a web order, must have the terms & conditions accepted box ticked.

Junction Eighteen Limited (J18) shall arrange for carriage of the goods to the Customer's address. The risk in the goods shall pass to the customer upon such delivery taking place. The Customer must ensure that qualified personnel are in attendance to accept delivery and J18 reserve the right to reclaim the costs of storage and/or redelivery and/or other related costs where the customer fails to accept delivery of goods.

J18 reserve the right to cancel or to make part delivery on orders without prior notice. Cancellation will be notified by J18 in writing.( On giving such notice J18 shall promptly repay to the Customer any sums paid in respect of the price. J18 shall not be liable for any loss or damage whatever arising from such cancellation.) Please also see additional terms & conditions relating to Christmas orders.

Orders cannot be cancelled by customers except in exceptional circumstances and must always be in writing. ( Orders cancelled, without the approval of J18, may incur a cancellation fee.) Any refused deliveries will incur a charge of £60. Re-delivery of refused deliveries will incur a charge of £20.

Note 1. Junction 18 deliver on a pallet basis of approx £1000/€1500. Any order balances less than these amounts can either be a) added to by the customer to make minimum consignment value or b) despatched with all delivery costs being invoiced to the customer.

Note 2. All customers outside of UK , excluding Eire and Channel Isles are to arrange their own shipping and carriage.

Please note that Junction Eighteen reserve the right to deliver from Monday to Friday between 8.30am to 5.30pm.

Payment

Normal Credit Terms are strictly 28 days from date of invoice unless otherwise agreed. J18 reserve the right to proforma new and existing customers. All payments to be made in £ sterling or Euros where applicable.

Overdue Accounts

J18 reserves the right to charge late payment fees under the Late Payment of Commercial Debts (Interest) Act 1998 as amended and supplemented by The Late Payment of Commercial Debts Regulations 2013 on any overdue accounts. J18 reserves the right to appoint a Third Party to act on its behalf to recover overdue accounts and the Customer will be liable for any reasonable Third Party Costs incurred. Any outstanding orders placed by an overdue account Customer could be subject to cancellation at the sole discretion of J18.

 

Jurisdiction

All dealings with J18 shall be governed by and construed in accordance with English Law and all parties shall submit to the exclusive jurisdiction of the Courts of England and Wales.

These Terms and Conditions represent the terms and conditions upon which J18 operates and all Customers placing orders with J18, accept and submit to trading exclusively on these terms.

Damages/Shortages

The customer shall inspect the goods on delivery and shall, within 48 hours of delivery by telephone, notify J18 at their head office of any alleged defect, shortage in quantity, damage or failure to comply with the description or sample. Also in writing or fax within 7 days. The customer shall afford to J18 an opportunity to inspect the goods within a reasonable time following delivery and before any use is made of them. If the customer shall fail to comply with these provisions the goods shall be conclusively presumed to be in accordance with the contract and free from any defect or damage which would be apparent on a reasonable examination of the goods and the customer shall be deemed to have accepted the goods.

If the goods are not in accordance with the contract for any reason the customer's sole remedy shall be limited to J18 making good any shortage by replacing such goods or, if J18 shall elect, by issuing a credit note against the invoice. Credit notes will not be issued if payment terms have not been complied with.

J18 shall be under no liability whatever to the customer for any indirect loss and/or expense (including loss of profit) suffered by the customer arising out of a breach by J18 of this contract.

In the event of any breach of this contract by J18 the remedies of the customer shall be limited to damages. Under no circumstances shall liability of J18 exceed the price of the goods.

Risk

The goods will be at the Customer's risk as from delivery the address given at the time of ordering, except in the case of deliveries to addresses outside the UK where the risk passes to the customer immediately upon delivery to the appointed carrier.

Title

Even if delivery has been made, property in the goods will not pass from J18 until the customer has paid i.e. that the funds have cleared into J18's bank account the price (plus VAT) in full and that no other sums of any kind are owed by the customer to J18,

Until Property in the goods passes to the customer as per the terms in the previous paragraph, the Customer will hold them on a fiduciary basis as baillee for J18. They should be identified and stored in such a way to be identifiable as being separate from other supplier's goods.

The customer may sell the goods, which are still the property of J18, at full market value in the normal course of their business, although until J18 is paid in full the Customer shall deal as principal and the entire proceeds of the sale will be held in such a way as to be identifiable as being J18's money. J18 will be entitled to recover the Price (Plus VAT) even if property of the goods has not passed from J18.

Until property of the goods has passed from J18 to the Customer, on request from J18 the Customer will make any goods not sold available for delivery to J18. If the Customer does not do this, then J18 may enter the premises owned, occupied or controlled by the customer where the goods are and repossess the goods. On the making of such a request, the rights in the previous paragraph will cease.

The customer is not entitled to pledge or use the goods, which are the property of J18 as security for any indebtedness. Without prejudice to the other rights of J18, if the customer does so then any monies owed by the Customer to J18 become immediately due and payable.

The Customer will keep the goods insured to the full Price against all risk until the date that the property of the same passes from J18 to the Customer. Without Prejudice the other rights of J18, if the Customer does not do so then any monies owed by the customer to J18 become immediately due and payable.

Liability

J18 will not be liable for any indirect or consequential loss whatsoever arising from, or in connection with, the supply of defective goods, delay in delivery, non delivery, loss or damage to goods in transit to the property of the purchaser, or any third party.

Data Protection

Junction 18 operates on a discount invoicing basis. By accepting these terms & conditions you agree to Junction 18 passing information about you to Close Brothers for the purposes of discount invoicing which may result in Close Brothers carrying out credit checks on you.

Additional Terms & Conditions for Christmas orders

Any changes to this order must be made in writing to Junction Eighteen Ltd as soon as possible but no later than 4th APRIL. After this date no cancellations or amendments can be accepted.

Unless a specific delivery date is supplied by yourselves Junction Eighteen Ltd will commence deliveries of this order from August. Any back orders arising will be advised to you by phone prior to despatch. Owing to the nature of Far East suppliers Junction Eighteen Ltd reserve the right to deliver up to and including 11th November, unless a specific cancellation date has been supplied by yourselves in writing.
